Terms of Use

1. Acceptance of Terms

• By accessing or using the TRON AI Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
• If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms of Use.
• If you do not agree with these Terms of Use, you must not access or use our Platform.

2. Account Registration

• To access certain features of the Platform, you may be required to create an account and provide certain information about yourself.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

• You represent and warrant that you own or have the necessary rights to the User Content you submit and that such content does not violate the rights of any third party.

4. Acceptable Use

When using our Platform, you agree NOT to:

• Use the Platform in any manner that could disable, overburden, damage, or impair the Platform.
• Use any robot, spider, or other automatic device to access the Platform for any purpose.
• Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material.

• Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which may harm TRON AI or other users.
• Use the Platform in any way that violates any applicable federal, state, local, or international law or regulation.

5. Intellectual Property Rights

• The Platform and its entire content, features, and functionality (including software, text, images, graphics, videos, and audio) are owned by TRON AI, its licensors, or other providers.
• These Terms of Use do not grant you any right, title, or interest in the Platform or its content other than the limited right to use the Platform in accordance with these Terms of Use.
• All trademarks, service marks, logos, and trade names displayed on the Platform are the property of TRON AI or its licensors.

6. User Feedback

Any feedback, comments, suggestions, ideas, or other information provided by you regarding the Platform ("Feedback") is non-confidential and TRON AI shall be free to use such Feedback for any purpose without acknowledgment or compensation to you.

7. Third-Party Links

• The Platform may contain links to third-party websites or resources that are not owned or controlled by TRON AI.
• We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or resources.
• You acknowledge and agree that TRON AI shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such third-party websites or resources.

8. Platform Availability

• We do not guarantee that the Platform will be available at all times or that access will be uninterrupted or error-free.
• We reserve the right to withdraw or modify the Platform, and any service or material we provide, without notice.
• We will not be liable if, for any reason, all or any part of the Platform is unavailable at any time or for any period.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TRON AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

10. Limitation of Liability

IN NO EVENT WILL TRON AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF THE PLATFORM, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless TRON AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Use or your use of the Platform.

12. Governing Law

These Terms of Use and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any choice or conflict of law provision or rule.

13. Dispute Resolution

Any legal action or proceeding arising out of or relating to these Terms of Use shall be exclusively brought in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms of Use

We may revise and update these Terms of Use from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes.

15. Waiver and Severability

• No waiver by TRON AI of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition.
• If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
